Terms & Licence Agreement
The rules for buying, downloading, and using TOM. Plain language; binding agreement.

1. Who you are agreeing with
These terms are an agreement between you ("you") and Mircea Preotu("we", "us", "TOM"). The full operator details — including legal name and registered address as required by §5 DDG — are listed in our Impressum.
By installing or using TOM, you accept these terms. If you do not accept them, do not install or use TOM.
2. The licence and the free trial
We grant you a personal, non-exclusive, non-transferable licence to install and use TOM on Macs you own or control, for the duration of the licence term, subject to these terms.
Free trial: when you first grant TOM screen-recording and microphone permissions, you get 30 days of full-feature use without buying a licence and without entering payment details. The trial period is measured locally from that moment.
Paid term: 12 months from the date of purchase. The current price is €99 per year.
What the licence covers: the right to create new meeting recordings, voice notes, and file imports in TOM, the use of cross-meeting search, plus software updates and email support, for the duration of the licence term.
What happens when the trial or licence ends: TOM goes read-only. You keep full access to playback, transcripts, summaries, and action items for everything you already captured — forever, with no time limit and no feature gate. Recording new meetings, importing files, and cross-meeting search pause until the licence is renewed. The expiry date is checked locally on your Mac; there is no licence-server check-in. Renew at any time to resume.
3. What you may not do
- Copy, redistribute, sublicense, sell, rent, or lease TOM.
- Reverse-engineer, decompile, or disassemble TOM, except where permitted by law.
- Remove or alter copyright, trademark, or licence notices.
- Use TOM to violate the law or the rights of others (see Section 5 on recording).
- Distribute the TOM installer to people who haven't purchased a licence. (TOM has no DRM and minimal activation; we rely on you honouring this.)
4. Refunds
TOM is offered with a 30-day free trial in lieu of a refund window. You can use every feature for 30 days without paying or entering payment details, and whatever you record during the trial remains accessible to you forever in read-only mode. The trial is deliberately the place to evaluate the product before you spend any money.
Once a licence is activated, it cannot be revoked. Activation is a one-way operation: the app verifies the licence with our server once, and after a successful response the licence is permanently bound to your installation — we have no technical mechanism to invalidate it remotely. Because the licence cannot be taken back, paid licences are non-refundable once activated.
Statutory consumer rights in your jurisdiction (for example, mandatory withdrawal rights for digital goods in the EU/EEA) are not affected by this clause and continue to apply where they do.
5. Recording responsibility
TOM is a recording tool. You are solely responsible for complying with the laws and rules that apply to recording meetings in your jurisdiction and the jurisdictions of the other participants. This typically includes informing participants and obtaining consent where required.
We do not provide legal advice. We do not assume responsibility for unlawful or unauthorised recordings made with TOM.
6. AI models and offline use
TOM performs transcription, summarisation, and cross-meeting search using AI models that run locally on your Mac. On first launch, the app downloads approximately 4 GB of model weights from Hugging Face; after that, the AI features work offline and no meeting data leaves your Mac. We do not operate, proxy, or monitor any cloud AI service for TOM, and we do not bill you for AI usage on top of the licence fee.
Models, model versions, and inference behaviour may change between releases as the on-device AI ecosystem evolves. We will not regress the quality of an existing feature in a way that materially reduces the value of TOM during your active licence term without offering a comparable replacement.
7. Data and privacy
How we handle data on the website, in the purchase flow, and in update checks is described in the Privacy Policy. The technical data flow for the app is described in the Privacy section on the homepage.
Your meeting recordings, transcripts, embeddings, and summaries are stored on your Mac. We do not receive them, and we cannot recover them if you lose them. Back up the TOM library on your Mac if it matters to you.
8. Updates and support
During your licence term, we provide software updates and email support. We aim to respond to support email within 3 business days. Critical security fixes may, at our discretion, be released to users outside their licence term.
We may change features, dependencies, or supported macOS versions over time. We will not remove features in a way that materially reduces the value of TOM during your active licence term without offering a comparable replacement or extending your licence term to compensate.
9. Warranty disclaimer
TOM is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that TOM will be uninterrupted, error-free, or compatible with all hardware, macOS versions, or your specific use case.
This does not limit warranties that cannot be excluded under applicable consumer law.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or related to TOM is limited to the amount you paid for the most recent 12-month licence term.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of recordings, transcripts, business, profits, data, or goodwill, even if advised of the possibility.
This does not limit liability that cannot be limited under applicable law (e.g. for fraud, gross negligence, or death/personal injury caused by negligence).
11. Termination
We may suspend or terminate your licence if you materially breach these terms. On termination, you must stop using TOM and remove it from your Macs. Sections that by their nature should survive (e.g. liability, governing law, refunds already completed) survive termination.
12. Changes to these terms
We may update these terms. Material changes will apply to new purchases and to renewals from the date of update. We will update the "last updated" date at the top of this page. Continued use after the update constitutes acceptance.
13. Governing law and jurisdiction
These terms are governed by the laws of the Federal Republic of Germany. Disputes will be brought before the competent courts of Düsseldorf, Germany, except where mandatory consumer-protection law in your country of residence requires otherwise.
